Términos y Condiciones — Ley 1480 de 2011 (Estatuto del Consumidor)

These Terms and Conditions (hereinafter "Terms") govern the contractual relationship between [COMPANY_NAME], with NIT [NIT], domiciled at [ADDRESS], [CITY], Colombia (hereinafter "Naskia" or "the Provider"), and the natural or legal person who subscribes to and uses the Naskia platform (hereinafter "the Administrator" or "the User").

By registering, paying for a subscription, or using any feature of the Naskia platform, you acknowledge that you have read, understood, and accepted these Terms in their entirety. If you do not agree with any part of these Terms, you must not use the service. You must be at least 18 years of age to enter into this agreement.

1. Object and Scope

The object of these Terms is to establish the rights and obligations that govern the use of Naskia, a Software as a Service (SaaS) platform designed exclusively for the management of residential complexes under the regime of Propiedad Horizontal (Law 675 of 2001) in Colombia.

These Terms apply to all users of the Naskia platform, including complex administrators, residents, owners, security guards, and any other role granted access by an administrator. They apply to access via web browser on any device. These Terms do not apply to real estate transactions, property sales, or rental agreements — Naskia is strictly a management platform, not a real estate service.

2. Service Description

Naskia provides a cloud-based SaaS platform with the following 8 integrated modules:

Complex Management

Hierarchy of towers, floors, apartments, residents, and owners. Coefficient tracking for Propiedad Horizontal compliance.

PQRS Module

Petitions, complaints, claims, and suggestions with legal consecutive numbering and 15-day deadline tracking per Law 1755/2015.

Amenity Bookings

Real-time booking system for common areas (pools, BBQ, salon) with conflict prevention, capacity limits, and admin approval.

Security Access Control

Visitor registration, entry and exit logging, and real-time access lists managed by security guards.

Assembly Management

Convocations (first and second call), attendance tracking, coefficient-weighted voting, proxy support, and digitally locked minutes per Law 675/2001.

Announcements

Rich-text announcements with image uploads, embedded videos, and publish/unpublish control for residents and owners.

User Profiles

Account management, role assignment, avatar upload, and contact information for all platform users.

Subscription Management

Plan selection, payment via Wompi, subscription history, grace period management, and access control based on subscription status.

Naskia reserves the right to add, modify, or remove modules at any time, provided that existing functionality is not substantially reduced during an active subscription period without prior notice of at least 30 days.

3. User Roles and Access Control (RBAC)

Naskia implements a Role-Based Access Control (RBAC) system. Each user is assigned a role that determines which features and data they can access. The available roles and their access levels are:

Administrator

The subscriber who holds the active subscription. Has full access to all modules: managing the complex hierarchy, residents, owners, security guards, PQRS, amenities, assemblies, announcements, and billing. Only one administrator per complex. The administrator is responsible for all actions taken within their complex.

Owner (Propietario)

A user linked to one or more apartments as the legal owner. Can submit PQRS, book amenities, view announcements, see visitor records for their apartment, and participate in assembly voting (with coefficient-weighted votes). Cannot modify complex settings or other residents' data.

Resident (Residente)

A user linked to one or more apartments as a current resident (may or may not be the owner). Can submit PQRS, book amenities, view announcements, and see their own visitor records. Cannot vote in assemblies unless also registered as an owner. Cannot modify complex settings.

Security Guard (Vigilante)

A user authorized to register visitor entries and exits via the security module. Can view active visitor lists and historical access logs for their assigned complex only. Has no access to PQRS, amenity management, financial data, or assembly records.

The administrator is responsible for assigning roles correctly and ensuring that users in their complex accept these Terms before being granted access. Misuse of elevated privileges may result in account suspension.

4. Subscription, Billing, and Payment

4.1 Subscription Plans

Naskia offers flat-rate subscription plans (quarterly, semi-annual, and annual). All plans include unlimited apartments, unlimited users, and access to all 8 modules. There are no per-user or per-apartment charges. Prices and plan details are published on the Naskia pricing page and may be updated with 30 days prior notice.

4.2 Payment Processing

Payments are processed exclusively by Wompi, Colombia's payment gateway. Naskia does not store credit card numbers or financial instrument details. Accepted payment methods include credit and debit cards (Visa, Mastercard, American Express), PSE bank transfers, Nequi, and other methods offered by Wompi. All transactions are in Colombian Pesos (COP) and include the applicable VAT (IVA) as required by Colombian law.

4.3 Subscription Term and Renewal

Subscriptions are non-recurring (no automatic renewal). The administrator must manually renew before expiration to maintain uninterrupted access. Naskia will send email reminders at 30 days, 7 days, and 3 days before the subscription expiration date, as well as during the grace period.

4.4 Grace Period

Upon subscription expiration, a 15-day grace period is provided. During this period, full access to all platform features is maintained. After the grace period, the account is suspended: data is preserved and archived but access is restricted until the subscription is renewed. Suspended accounts retain their data for a reasonable period to allow renewal or data export.

5. Consumer Rights — Law 1480 of 2011 (Estatuto del Consumidor)

In compliance with Colombian Law 1480 of 2011 (Estatuto del Consumidor) and its regulatory decrees, Naskia recognizes the following consumer rights:

Right of Retract (5 business days)

In accordance with Article 47 of Law 1480/2011, the administrator who purchases a subscription through the Naskia web platform has the right to retract the purchase within 5 business days following the payment date, provided that: (a) the service has not yet been substantially used (no data has been entered into the platform), and (b) the retraction request is submitted in writing to [PRIVACY_EMAIL] within the 5-business-day window. Upon valid retraction, Naskia will process a full refund within 30 calendar days through the same payment method used.

Quality Guarantee

Naskia guarantees that the platform will function in accordance with its published features for the duration of the subscription. If a critical defect renders a major module unusable for more than 48 consecutive hours, the administrator may request a proportional credit or extension of the subscription period, provided the defect is reported to [PRIVACY_EMAIL] within 30 days of its discovery.

Right to Information

Consumers have the right to receive complete, truthful, and timely information about the Naskia service, including pricing, features, limitations, and these Terms. All commercial information published on the Naskia website is considered binding on the Provider.

Payment Reversal

In the event of a fraudulent or unauthorized payment, the consumer may request reversal of the transaction from their bank or financial institution in accordance with applicable Colombian financial regulations. Naskia will cooperate fully with financial institutions in the investigation of any reported fraud.

Age Requirement

You must be at least 18 years of age to subscribe to Naskia and enter into this agreement. By subscribing, you represent and warrant that you meet this age requirement. Naskia reserves the right to terminate accounts discovered to belong to persons under 18.

6. User Obligations

By using Naskia, you agree to:

  • Provide accurate, truthful, and complete information when registering and using the platform. You are responsible for keeping your account information up to date.
  • Keep your login credentials confidential. You are responsible for all activity that occurs under your account. Notify Naskia immediately at [PRIVACY_EMAIL] if you suspect unauthorized access.
  • Use the platform in compliance with applicable Colombian law, including but not limited to Law 675/2001, Law 1581/2012, and Law 1755/2015.
  • Respect the privacy and personal data of residents, owners, and visitors entered into the platform, and obtain appropriate authorization before registering third-party personal data.
  • Pay the subscription fee on time to maintain uninterrupted access to the platform.
  • Ensure that residents, owners, and guards added to the platform are informed about these Terms and our Privacy Policy before being granted access.
  • Report security vulnerabilities or bugs responsibly to [PRIVACY_EMAIL], without exploiting them or disclosing them publicly before a fix is deployed.

7. Prohibited Uses

The following uses are strictly prohibited and may result in immediate account suspension:

  • Attempting to access data belonging to another complex, including through API manipulation, URL guessing, or any other technical means.
  • Reverse engineering, decompiling, disassembling, or attempting to extract the source code of the Naskia platform.
  • Uploading, transmitting, or distributing malicious code, viruses, or any content that could damage the platform or its users.
  • Using the platform for activities that violate Colombian law or the rights of third parties, including unauthorized personal data collection, defamation, or harassment.
  • Reselling, sublicensing, or providing access to the Naskia platform to third parties outside your own residential complex without express written authorization from Naskia.
  • Conducting automated scraping, crawling, or data harvesting of the platform beyond normal use.
  • Using the platform to facilitate money laundering, terrorism financing, or any activity prohibited by Law 526/1999 or subsequent anti-money-laundering legislation.

8. Intellectual Property

The Naskia platform, including its software code, design, user interface, logos, trademarks, and all content created by Naskia (documentation, marketing material, email templates), is the exclusive property of [COMPANY_NAME] and is protected by Colombian intellectual property law (Law 23 of 1982 and Law 44 of 1993) and applicable international treaties.

Naskia grants each subscriber a limited, non-exclusive, non-transferable, and revocable license to use the platform solely for managing their own residential complex during the active subscription period. This license does not grant any ownership rights over the software or its components.

Your data belongs to you. All data entered by the administrator and users (complex structure, resident information, PQRS, assembly minutes, visitor logs, etc.) remains the property of the administrator's complex. Naskia acts as a processor of this data and does not claim ownership over it.

9. Service Availability and Maintenance

Naskia strives to maintain the platform available 24/7. The platform is hosted on Amazon Web Services (AWS) infrastructure with high availability configurations. However, Naskia does not guarantee uninterrupted availability and is not responsible for downtime caused by events outside its control, including but not limited to:

  • Force majeure events (natural disasters, pandemics, civil unrest).
  • Third-party infrastructure outages (AWS, Cloudflare, internet service providers).
  • Scheduled maintenance windows (announced at least 24 hours in advance via email).
  • Distributed denial-of-service (DDoS) attacks or other malicious cyber events.

In the event of extended unplanned downtime affecting a major module for more than 48 consecutive hours, affected subscribers may request a proportional subscription credit or extension, as described in Section 5 (Quality Guarantee).

10. Data Portability and Account Deletion

Administrators may request a complete export of their complex's data at any time by sending a request to [PRIVACY_EMAIL]. Naskia will provide the data in a standard format (CSV, JSON, or PDF, as appropriate) within 48 business hours. Your data belongs to you — always.

If you choose to permanently delete your account and all associated data, send a written request to [PRIVACY_EMAIL]. Account deletion is permanent and irreversible. Naskia will process the request within 15 business days. Certain data may be retained longer if required by Colombian accounting, tax, or legal obligations.

11. Liability Limitations

Naskia is a tool that facilitates residential complex management. The decisions made by administrators, residents, owners, and security guards using data from the platform are the sole responsibility of those individuals. Naskia is not liable for:

  • Decisions made by administrators or residents based on platform data.
  • Disputes between residents, owners, and administrators within a complex.
  • Inaccurate data entered by the administrator or users (incorrect coefficients, wrong apartment assignments, etc.).
  • Indirect, incidental, special, or consequential damages resulting from use or inability to use the service.
  • Loss of profits, goodwill, data, or business opportunities arising from service interruption.
To the maximum extent permitted by applicable law, Naskia's total liability for any claim arising from these Terms or the use of the platform shall not exceed the total subscription fees paid by the administrator in the 3 months preceding the claim. These limitations apply to the fullest extent permitted by Law 1480/2011 and other applicable Colombian consumer protection regulations.

12. Sanctions and Account Suspension

Naskia reserves the right to suspend or terminate any account, with or without prior notice, in the following circumstances:

  • Violation of any section of these Terms, particularly the Prohibited Uses (Section 7).
  • Subscription non-payment: account suspended after the 15-day grace period.
  • Fraudulent payment, charge-back, or disputed transaction that is resolved against Naskia.
  • Court order or directive from a competent authority.
  • Providing false information during registration or in support requests.

For non-emergency suspensions (those not involving active security threats), Naskia will provide at least 72 hours advance notice via email, allowing the administrator to export data before suspension takes effect. Suspended accounts retain archived data for 90 days, after which it may be permanently deleted.

13. Governing Law

These Terms are governed by the laws of the Republic of Colombia. The following laws are particularly applicable: Law 675 of 2001 (Propiedad Horizontal), Law 1480 of 2011 (Estatuto del Consumidor), Law 1581 of 2012 (Personal Data Protection), Law 1266 of 2008 (Habeas Data), Law 1755 of 2015 (Derecho de Petición), Law 527 of 1999 (Electronic Commerce), and any regulation that modifies, complements, or replaces these. Any interpretation of these Terms must be consistent with applicable Colombian law and the principles of good faith established in the Civil Code of Colombia.

14. Dispute Resolution

14.1 Direct Resolution

Before initiating any formal proceeding, the parties agree to attempt good-faith direct resolution. The aggrieved party must submit a written claim to [PRIVACY_EMAIL]. Naskia will acknowledge receipt within 5 business days and provide a substantive response within 15 business days.

14.2 Consumer Protection Authority (SIC)

If direct resolution fails, consumers may file a complaint with the Superintendencia de Industria y Comercio (SIC) through its official channels (www.sic.gov.co) for matters related to consumer rights under Law 1480/2011 or data protection under Law 1581/2012.

14.3 Arbitration

For commercial disputes that cannot be resolved directly or through the SIC, the parties agree to submit to binding arbitration before the Arbitration and Conciliation Center of the Cámara de Comercio de Bogotá, in accordance with its rules and procedures. The arbitration shall take place in Bogotá, Colombia, in the Spanish language, and the arbitral award shall be final and binding on both parties.
